Reports
Euroverde has always been committed to promoting a corporate culture based on ethics and compliance with the law.
Reports of legal violations, and in particular Reports of Relevant Violations – as defined in the Whistleblowing Procedure, to which reference is made, available on the Company's website www.euroverde.it – They can help identify and address, in a timely manner through appropriate countermeasures and preventive measures, the critical issues and risks to which all organizations—including Euroverde—are potentially exposed.
Euroverde is committed to operating in an ethical and responsible manner and requires Euroverde Personnel—meaning directors, executives, supervisory bodies, managers, employees, and other company associates—as well as its business partners to act accordingly and in compliance with:
- Euroverde Code of Ethics;
- Laws and regulations;
- Measures of Public Authorities;
- Model 231 and/or company procedures;
- Human rights.
What can you report
Euroverde strongly encourages all its stakeholders to report any activity—even if only potential or highly probable—that violates Legislative Decree 231/2001 or the Organization, Management, and Control Model (also known as the “231 Model”) and the internal regulations referred to therein, as well as any conduct constituting offenses falling within the scope of application of European Union or national laws, or that harm financial interests or affect the internal market, and that cause or may cause damage or harm—including damage to the Company’s reputation—to the Company.
To this end, Euroverde has implemented a specific procedure and a reporting process to provide potential whistleblowers with secure channels that guarantee the confidentiality of their identity and of the information contained in the report, as well as their protection against any retaliation.
Euroverde has made an external digital platform available, managed by a specialized third party, in order to ensure the effectiveness and confidentiality of the reporting process and to provide broad and unrestricted access to anyone who wishes to file a report. The platform can be accessed via the link at the bottom of the page. Anonymous reports are permitted, but only if they are sufficiently substantiated and detailed.
Euroverde encourages reporters to submit non-anonymous reports in order to streamline investigations and make them more effective.
What does Euroverde do after receiving a report?
The Whistleblowing process consists of the following phases:
- Receipt of Reports;
- Preliminary assessment;
- Investigation;
- Outcome and closure of the report.
The Whistleblowing Manager verifies the received Reports in order to ascertain the facts described, evaluates their adequacy, and, if necessary, requests further analysis.
For details on the management of the reporting process, please refer to the Whistleblowing Procedure.
What not to report
They are excluded from the application of the legislation and CANNOT be the subject of a Report:
- disputes, claims, or requests relating to a personal interest of the reporting person or the person who filed a complaint with the judicial or accounting authority, which pertain exclusively to their individual employment relationships (labor disputes and pre-litigation phases, discrimination between colleagues, interpersonal conflicts, commercial complaints);
- reports of violations where already regulated on a mandatory basis by other regulatory provisions;
- reports of breaches regarding national security, as well as procurement relating to defense or national security aspects, unless such aspects fall under the relevant derived law of the European Union.
In the event of unfounded reports, made in bad faith or with gross negligence, Euroverde reserves the right to take action to defend its own interests or those of the affected parties.
